You ("Merchant," "you," "your") are accessing or using the Services supplied by FRANKLINE TECHNOLOGY PRIVATE LIMITED ("Franklinzo", "we", "us", or "our"), a company formed under the laws of India, in accordance with these Terms and Conditions ("Terms"). By using the Services, you enter into a legally binding contract with Franklinzo and agree to be bound by these Terms. Do not access or use the Services if you do not agree to these Terms.
The Privacy Statement and the Payment Partner Terms are examples of "Additional Terms";
The term "Applicable Law" refers to any statute, law, regulation, ordinance, rule, judgment, notification, order, decree, by-law, permit, license, approval, consent, authorization, government approval, directives, guidelines, requirements, or other government restrictions, or any similar form of a decision of, or determination by, or any interpretation, policy, or administration, having the force of the law of any of the foregoing, by any regulatory authority, whether in effect as of or at any.
A "Business Day" is any day other than a Saturday, Sunday, legal holiday, or other days on which banking institutions in India are permitted or required by Applicable Law to be closed.
For the purposes of issuing various payment cards (such as credit cards, debit cards, and prepaid debit cards), "Card Payment Networks" refers to Payment Systems that have been granted permission by the RBI to be associated with banks, non-banking financial firms, or other RBI recognized enterprises.
The term "Dispute" refers to any claim the Customer makes regarding the Transaction.
"Customer" shall mean any individual who purchases goods or services from Merchant via the Merchant's control panel;

For the purposes of this Agreement, "Franklinzo Services" shall mean the services, including, but not limited to, providing a Platform for you to be able to list your products online to empower a digital presence, easily collecting payments from Transactions, accessing third-party service providers to enable you to boost sales, and such other services as may be made available to the Merchants from time to time;
A "Merchant" is a User who has signed up for the Services on the Platform.
The term "Merchant Dashboard" refers to the online storefront that a Merchant creates on the Platform in order to advertise their goods and services to Customers and accept Orders from those Customers.
The term "Order" refers to any request made by the Customer to obtain any good or service (with online or offline payment) from the Merchant;
What we mean by "Payment Aggregation Services" is a service that allows Merchants to accept payments from Customers using a variety of Payment Instruments without having to set up their own internal payment integration system.
Credit cards, debit cards, bank accounts, prepaid cards, the Unified Payment Interface (UPI), the Immediate Payment Service (IMPS), and any other methods of payment that may be developed, added, or deployed by Facility Providers or financial institutions from time to time are all included under the umbrella term "Payment Methods";
A "Person" may be an individual, a business, a government, a political subdivision, an agency, or instrumentality of either a trust, a joint stock company, a bank, a non-banking financial company, or any other entity or organization recognized by law;
Together, the Franklinzo app and Franklinzo Website shall be referred to as the "Platform";
When used interchangeably, "Services" refers to both the Payment Aggregation Services and the Franklinzo Services.
The term "Transaction" refers to any Order in which the Customer uses a Payment Instrument to pay the Transaction Amount to the Merchant; and
When referring to a "Transaction," the term "Transaction Amount" refers to the total amount paid by the Customer.
You hereby represent and warrant that (a) you are of legal age to form a binding contract, (b) you are at least eighteen years old, (c) you are a resident of India, and (d) you possess all necessary licenses, registrations, rights, power, and authority to enter into these Terms and Conditions. If you agree to these Terms on behalf of a company, organization, or other legal body, you represent and warrant that you have the legal authority to do so.
You must register on the Platform with a unique username and password that is associated with your phone number and email address ("Account") in order to utilize the Services.
You acknowledge that it is your responsibility to take reasonable precautions to protect access to:
(a) any electronic gadget linked to the same email address or phone number as your Account on the Service;
Your Account login and password are private information that must be protected at all times. If you become aware of any disclosure or unauthorized use of your Account, or any other breach of security with respect to your Account, you undertake to contact us promptly.
If we believe that you have violated any of the Terms, we may disable any passwords or other identifying information you use to access the Platform.
To avoid unauthorized access to your Account, always log out before closing your browser.
You acknowledge and accept that you will be held fully responsible for any and all activity that occurs under your Account. If your Account is compromised for any reason, including but not limited to hacking, you agree that we will not be held liable for any unauthorized Transactions, refund claims, or Dispute requests made through your Account.
If you use our Services, you consent to receive communications from us regarding (i) information related to Transactions on the Platform; (ii) the Transaction Amount received; (iii) information about us and the Services; (iv) promotional offers and services from us and our third-party partners; and (v) any other matter related to the Services.
To use the Services, you might need to go through some underwriting procedures with us. In this regard, you may be asked to upload documents and information (referred to as "Underwriting Documents") in order for us to determine your eligibility to use the Services, including Payment Aggregation Services (or at the direction of our Payment Partner).
You give us permission to handle Underwriting Documents and determine your eligibility, as well as the permission of any third-party service providers we might work with. We will always process data in compliance with our privacy policy. If a third party processes information in accordance with this section, you acknowledge that such processing might be governed by additional terms of service.
Additionally, we reserve the right to request any other information, data, or documents (collectively, "Additional Information") during the Term if doing so is necessary to establish your eligibility to use the Services or to continue using them. You consent to promptly providing us with such Additional Information upon our request and give us permission to process such Additional Information.
You pledge and guarantee that the Underwriting Documents and Additional Information you submit are accurate, current, and comprehensive. We reserve the right to refuse to offer you any Services, including the Payment Aggregation Services on the Platform if we determine in our sole discretion that the information you have provided is inaccurate, suspicious, or lacking in some other way. The Payment Partner reserves the right to (i) settle all pending Transaction Amounts with you; (ii) return the pending Transaction Amounts to the Customers; or (iii) hold on to the pending Transaction Amounts for further investigation. We may suspend the Account you hold with us if we later discover any inaccuracy in the information you provided.
You claim that you are not in the business of selling the products and services listed in Schedule by agreeing to these Terms. If you do, you will not be eligible to use Franklinzo's services.
Our Privacy Policy will apply to all information that we gather about you in order to give you the Services.
You authorize us to store and share the backups with the Payment Partner as and when required by the Payment Partner in order for it to be able to offer the Payment Aggregation Services, as well as with any Authority. This applies to all data related to the information available on the Merchant Dashboard, your Account, your usage of the Franklinzo Services, and all electronic conversations with Customers, including conversations pertaining to their complaints.
To further improve the performance of the Services and efficiency of the Platform, we may use data and information about how you use the Services for analytics, trend detection, and statistical purposes.
The Platform keeps track of, organizes, and analyzes your Orders and use of the Platform with your permission in order to provide you with a variety of ancillary services. You hereby give us permission to share the Order and Transaction information with our affiliates. Furthermore, you agree that we may find and procure ancillary services that are suitable for you using information from your Order or Transaction, subject to our right to charge you a facilitation fee.
When consenting to these Terms, you represent and warrant that all information you give on the Platform or in connection with the Services is complete, true, and correct and will remain so long as you use the Services. If any information, documentation, material, or data you supply to use the Services is false, incomplete, inaccurate, or misleading, or if you omit to disclose any material fact, we disclaim all responsibility and liability for any loss or harm you may experience or incur.
You agree that, during the Term and after, you will not speak badly of us or any of our affiliates in a way that would harm our or any of our affiliates' goodwill, reputation, and commercial ties with the general public, as well as with any of our clients, suppliers, or staff members.
You must cooperate fully with us in order for us to successfully defend ourselves in any legal actions that may be brought against us as a result of a violation of your covenants or obligations under these Terms.
The information that appears on the Merchant Dashboard, the Platform, and the payment link is entirely your responsibility. You are responsible for making sure all information presented on the Merchant Dashboard is true, accurate, and complete at all times. This includes, but is not limited to, the following: description, pricing, applicable taxes or fees, shipping information, mandatory legal disclosure, and other advertising, offers, or promotional material. The price you charge for the goods or services you provide to customers is entirely up to you.
You acknowledge that you will promptly provide us with information about any changes to ownership/control/management, business type, legal name, contact information, bank account, and any other changes that may have an impact on the provision of Services.
You are in charge of making sure that the terms and conditions and privacy policy cover all pertinent information and disclosures that you want to make or that are otherwise required to be made by law in relation to any sales and/or returns made for the goods and services that are advertised on the Merchant Dashboard. We are not bound by any such rules and policies, and if there is any inconsistency between them and these rules or the Additional Terms, these Terms and/or the Additional Terms shall control.
You acknowledge that following Order confirmation, you shall promptly and immediately begin the process of fulfilling your delivery responsibilities with respect to an Order. For all Orders and Transactions, we retain the right to request the papers for proving such as bills.
You must make sure that the information customers give on the merchant dashboard in order to use the goods and services made available there is truthful, accurate, and current.
Regardless of whether you are PCI-DSS compliant or not, you acknowledge that you are not entitled to hold payment data of the Customers unless specifically approved by the applicable laws. You promise to make sure all applicable rules in this regard are followed if you store any data in accordance with the Applicable Laws.
By using any techniques and/or doing any measures that would amount to pressuring the Customers to renounce their dispute rights over Transaction Amounts, you are prohibited from transferring or trying to transfer your financial liabilities to the Customers.
Except as specifically permitted in these Terms, you may not use the Services in any way. You may not, without limiting the generality of the foregoing sentence:
We retain the right to either (a) suspend your Account or (b) implement a reserve if we determine that your Account is connected to a disproportionately high number of Disputes.
You can directly contact us using the methods offered at [email protected] if the Merchant has any queries or grievances regarding the Services.
You guarantee that you will respond to all inquiries and/or complaints from customers and that the terms and conditions that apply to the purchase of such goods and/or services will contain the necessary sections outlining the procedure to be followed to address complaints from customers.
We are the only owner of all legal rights, titles, and interests in and to the Platform and Services, including all intellectual property rights derived therefrom or otherwise granted to us. We grant you a non-exclusive, non-transferable, non-sublicensable, revocable, and restricted license to use the Platform in accordance with these Terms and its written guidelines issued from time to time, subject to your compliance with these Terms.
On occasion, we may ask you to provide recommendations and other feedback regarding the Services ("Feedback"), including bug reports and vulnerability disclosures. Without any fee, acknowledgment, prior approval, or other restriction based on your intellectual property rights, we are free to use, copy, disclose, publish, display, distribute, and exploit the feedback you provide to us.
Nothing in these Terms should be interpreted as granting any right in or license to our or any third party's intellectual property rights except as expressly stated in these Terms.
Without first obtaining a license from us or our licensors, you are not permitted to use any portion of the content on our Platform for commercial gain. Your access to use our Platform will immediately end if you print, copy, or download any content in violation of these Terms, and you must either return or destroy any copies you have made of the contents at our choice.
You agree to defend Franklinzo, its parent company, affiliates, and each of their officers, associates, successors, assigns, licensors, employees, directors, agents, and representatives against any direct or indirect losses, actions, damages, penalties, cost and expenses, claim, demand, lawsuits, and legal proceedings (including, without limitation, from all damages, liabilities, settlements, costs, and attorneys' fees).
Regardless of anything else in these Terms, neither Franklinzo nor any of its affiliates or related parties shall be liable to you or any third party for any indirect, incidental, special, or consequential damages or any loss of revenue or profits arising under, indirectly related to, or relating in any way to these Terms, including any action taken by any Authority or Payment Partner. To the fullest extent permissible by law, you hereby waive, release, discharge, and agree to indemnify and hold harmless Franklinzo, its affiliates, subsidiaries, parent company, and each of their directors, officers, employees, and agents from any and all claims, losses, damages, liabilities, expenses, and causes of action arising out of your use of the Platform or the Services.
Even though you may have other legal options, we reserve the right to limit your access or activity (temporarily or permanently), suspend or terminate your Account, or refuse to grant you access to the Platform and the Services without prior notice or justification, for any reason, including but not limited to the occurrence of the following events:
We reserve the right to modify both the Platform and these Terms & Conditions. Every time you use the Platform or Services as a Merchant, you must carefully read these Terms as well as the Additional Terms. The Additional Terms and these Terms, as revised from time to time, shall govern your use of the Platform and Services. We urge you to stop using the Platform and/or the Services at that time if, at any stage the changes are unacceptable to you.
For operational and business purposes, we also reserve the right to suspend, remove, or restrict access to all or any portion of our Platform. We do not promise that our Platform will operate continuously or always be accessible. On a best-efforts basis, we will give you reasonable notice of any such suspension or withdrawal.
Any dispute relating to these Terms shall be governed by and construed in accordance with the laws of India and shall be exclusively brought before the courts located in India.
